6. Payment Terms

- Unless otherwise agreed, invoices are due within 14 days of issue.
- We reserve the right to suspend work if payment is overdue by more than 14 days after the due date.
- All fees are exclusive of applicable taxes (including UAE VAT where applicable), which will be added to invoices as required by law.

Client deliverables
Upon receipt of full payment for a project, intellectual property rights in the final deliverables created specifically for you transfer to you, unless otherwise agreed in writing. We retain the right to display work in our portfolio unless you request otherwise in writing before project completion.
Third-party materials
Where deliverables incorporate licensed third-party assets (stock photography, fonts, plugins, etc.), ownership and usage rights are subject to those third-party licences. We will notify you of any material licence restrictions.
8. Client Responsibilities
For us to deliver our services effectively, you agree to:
- Provide accurate and complete information, content, and materials required for the project in a timely manner.
- Ensure that any content or materials you provide do not infringe any third-party rights.
- Designate a point of contact with authority to give approvals and decisions.
- Respond to requests for feedback or approval within agreed timeframes.
We are not liable for delays or reduced quality caused by late or incomplete provision of materials or approvals.

Both parties agree to keep confidential any non-public information shared during the engagement. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
10. Limitation of Liability
To the fullest extent permitted by law:
- We are not liable for any indirect, incidental, consequential, or special damages arising from your use of our website or services.
- Our total liability to you for any claim arising from a service engagement shall not exceed the total fees paid by you for that specific project in the three months preceding the claim.
- We do not guarantee specific rankings, traffic volumes, or revenue outcomes from digital marketing services — results depend on many factors outside our control, including search engine algorithm changes and market conditions.
11. Warranties
We warrant that we will provide services with reasonable skill and care. We do not warrant that our website will be uninterrupted, error-free, or free of viruses. Our website and its content are provided "as is" to the maximum extent permitted by law.
12. Termination
Either party may terminate a service agreement with 30 days' written notice, unless a different notice period is specified in the relevant proposal. Upon termination:
- You are liable for fees for all work completed up to the termination date.
- We will deliver all completed work and raw files to you upon receipt of outstanding payment.
13. Governing Law and Dispute Resolution
These terms are governed by the laws of the Emirate of Dubai and the federal laws of the United Arab Emirates. Any dispute arising from these terms or our services that cannot be resolved through good-faith negotiation shall be referred to the courts of Dubai, UAE, which shall have exclusive jurisdiction.
